TERMS AND CONDITIONS OF SALE AND PARTICIPATION

These general terms and conditions govern the online sale of tickets for the event “BIOTEK 40th Anniversary” (the “Event”) and participation in the activities connected with the Event, including, where applicable, demo sessions and ancillary activities organized by BIOTEK S.r.l., with registered office at Via Rodolfo Farneti 8, 20129 Milan, Italy, VAT no. IT10911780152, certified email (PEC): amministrazione@pec.biotek.it, email: info@biotek.it, telephone +39 02 730164 (hereinafter “BIOTEK” or the “Organizer”).
The Event will take place on 21- 22-23 May 2027 at Superstudio Village, Milan.
The purchase of one or more tickets and/or participation in the Event implies full acceptance of these general terms and conditions.
1. DEFINITIONS
For the purposes of these Terms and Conditions:
- “Website” means the website dedicated to the Event, available at www.biotekconference.com, as well as any related page or ticketing platform used by BIOTEK for ticket sales.
- “Event” means the event “BIOTEK 40th Anniversary”, organized by BIOTEK on 21-22-23 May 2027 at Superstudio Village, Milan.
- “Purchaser” means the person purchasing one or more tickets or services through the Website.
- “Participant” means the person using the ticket to access the Event, even if different from the Purchaser.
- “Pass” or “Ticket” means the admission ticket to the Event available for purchase through the Website.
- “Championship” or “BIOTEK Championship” means the competition organized by BIOTEK as part of the Event and governed by a specific set of rules referenced in these Terms and Conditions.
- “Live Demo” means the practical demonstrations carried out during the Event by participants selected by BIOTEK in accordance with these Terms and Conditions and any organizational communications issued by BIOTEK.
2. SUBJECT MATTER
2.1
These Terms and Conditions govern:
a) the sale of admission tickets to the Event;
b) the conditions for participation in the Event;
c) the conditions applicable to Live Demos, where relevant;
d) the reference to the BIOTEK Championship Rules for Championship participants.
2.2 Pass types
Subject to availability and unless otherwise indicated on the Website, BIOTEK offers the following types of passes for sale:
- Standard Pass: Euro 500.00 + VAT
- Premium Pass: Euro 700.00 + VAT
2.3
In addition to admission to the Event and any additional services indicated on the Website, the Premium Pass includes a BIOTEK swag bag containing BIOTEK products with a declared total commercial value of Euro 700.00.
2.4
The composition of the swag bag, the number of products included, the product references, shades, formats, packaging and corresponding commercial value may be determined by BIOTEK at its own discretion and may be subject to changes for organizational, availability, logistical or commercial reasons, provided that BIOTEK undertakes to maintain a substantially equivalent total commercial value to that indicated.
3. CONCLUSION OF THE CONTRACT AND PURCHASE PROCEDURE
3.1
Tickets may be purchased exclusively through the Website and/or through the ticketing platform designated by BIOTEK.
3.2
By submitting an order, the Purchaser undertakes to pay the selected amount and makes a contractual offer to purchase.
3.3
The contract shall be deemed concluded when BIOTEK sends the Purchaser the order confirmation and/or payment confirmation, subject to successful completion of the transaction.
3.4
BIOTEK reserves the right not to accept incomplete or irregular orders, orders suspected of fraud, or orders for which payment is unsuccessful.
3.5
The Ticket shall be sent in electronic format to the email address provided by the Purchaser at the time of purchase or made available through the ticketing platform used.
4. PRICES, VAT AND INVOICING
4.1
Unless expressly stated otherwise, all prices indicated on the Website are exclusive of VAT, which shall be applied in accordance with the applicable law.
4.2
BIOTEK shall issue an invoice for all purchases made through the Website, based on the information provided by the Purchaser during checkout. The Purchaser is responsible for carefully checking the accuracy of the tax and invoicing details entered at the time of the order.
4.3
BIOTEK shall not be liable for delays, errors or inability to issue tax documentation due to incomplete, inaccurate or outdated information provided by the Purchaser.
5. NATURE OF THE TICKETS AND TRANSFERABILITY
5.1
Tickets for the Event are not issued in the name of a specific individual.
5.2
Tickets may be freely transferred to third parties by the Purchaser or the Participant, without prior notice to BIOTEK and without additional costs or fees, provided that:
a) the person using the Ticket complies fully with these Terms and Conditions and with the organizational rules of the Event;
b) BIOTEK may refuse admission to any person using an invalid, duplicated, altered, fraudulent or otherwise unlawfully acquired Ticket.
5.3
The Purchaser and the Participant remain responsible for the proper use of the Ticket and for any transfer thereof to third parties.
6. WITHDRAWAL RIGHT AND REFUND POLICY
6.1
The Event takes place on a specific date and at a specific venue. Therefore, to the extent permitted by applicable law, the statutory right of withdrawal provided for distance contracts under Articles 52 et seq. of Italian Legislative Decree no. 206/2005 (Italian Consumer Code) shall not apply to the purchase of Tickets for the Event, pursuant to the exception under Article 59 of the same Consumer Code relating to leisure services to be provided on a specific date or within a specific period.
6.2
Except as provided under Article 9 in the event of definitive cancellation of the Event by BIOTEK without rescheduling, all Tickets purchased are final, non-cancellable and non-refundable.
6.3
The Purchaser acknowledges and expressly accepts that no refund, indemnity or compensation shall be due, including, by way of example:
a) failure to use the Ticket;
b) the Participant’s inability to attend the Event for any personal, professional, health-related or logistical reason;
c) failure to attend due to delays, travel disruptions, transport unavailability, accommodation issues or other causes not attributable to BIOTEK;
d) failure to obtain visas, permits or documents necessary to reach the Event venue.
7. ACCESS TO THE EVENT AND RULES OF PARTICIPATION
7.1
Access to the Event is permitted exclusively to holders of a valid Ticket.
7.2
At accreditation or entry, BIOTEK reserves the right to request any information or documentation reasonably necessary to verify the validity of the admission ticket, the identity of the Participant or compliance with the Event’s organizational rules.
7.3
During the Event, Participants must maintain proper and respectful behavior and comply with safety, hygiene, public order and general Event conduct rules.
7.4
BIOTEK reserves the right to refuse access to the Event or remove a Participant from the Event, without any right to a refund, in the event of:
a) use of invalid, altered, duplicated Tickets or Tickets obtained in breach of these Terms and Conditions;
b) aggressive, offensive, harassing, defamatory, discriminatory or otherwise harmful conduct towards BIOTEK, its staff, speakers, sponsors, judges, models or other participants;
c) conduct that may jeopardize the proper running of the Event or related activities;
d) breach of these Terms and Conditions, the Championship Rules or any organizational instructions provided by BIOTEK.
8. EVENT PROGRAMME AND ORGANIZATIONAL CHANGES
8.1
BIOTEK reserves the right, at any time and where necessary, to make changes to the Event programme, schedule, sequence of sessions, speakers, content, areas, rooms, faculty composition, demo formats and other organizational aspects where required for technical, organizational, safety, opportunity or force majeure reasons.
8.2
Such changes shall not entitle the Purchaser or Participant to any refund or compensation, provided that they do not substantially alter the overall nature of the Event.
9. POSTPONEMENT, CHANGE OF DATE OR CANCELLATION OF THE EVENT
9.1
If the Event is postponed to a new date, Tickets already purchased shall automatically remain valid for the new date set by BIOTEK.
9.2
In the event of postponement of the Event, the Purchaser shall not be entitled to a refund of the Ticket price, unless BIOTEK officially communicates otherwise in writing at its sole discretion.
9.3
In the unlikely event that BIOTEK decides to definitively cancel the Event and not reschedule it, BIOTEK shall, upon the Purchaser’s request, refund only the amount actually paid for the Event Ticket.
9.4
Any refund request under Article 9.3 must be sent by the Purchaser, under penalty of forfeiture, within 14 (fourteen) days from the official cancellation notice, to info@biotek.it, stating:
- order number;
- full name of the Purchaser;
- email address used for the purchase;
- copy of the order confirmation or other proof of purchase;
- any further information reasonably requested by BIOTEK in order to process the refund.
9.5
Where due, the refund shall be made by BIOTEK within 30 (thirty) days from verification of the request, using the same payment method used for the purchase where technically possible, or by another method agreed with the Purchaser.
9.6
In any event, BIOTEK shall refund only the Ticket price and shall under no circumstances be required to reimburse, indemnify or refund any additional costs or expenses incurred by the Participant or the Purchaser, including, by way of example and without limitation:
- travel expenses;
- local transportation costs;
- food and accommodation expenses;
- insurance costs;
- visa, permit, document or administrative expenses;
- loss of earnings or other indirect costs.
10. FORCE MAJEURE
10.1
BIOTEK shall not be held liable for any failure, delay, postponement, modification or total or partial cancellation of the Event due to force majeure or circumstances beyond BIOTEK’s reasonable control, including, by way of example:
- natural disasters;
- fires, floods, earthquakes or other catastrophic events;
- epidemics, pandemics or public health emergencies;
- wars, riots, civil unrest or security threats;
- strikes, blackouts, unavailability of premises or venue;
- acts or measures of public or administrative authorities;
- sudden unavailability of speakers, judges, spaces or essential suppliers for reasons not attributable to BIOTEK.
10.2
In such cases, BIOTEK shall be entitled to postpone, modify, suspend or cancel the Event, without prejudice to Article 9 regarding any refund of the Ticket only in the event of definitive cancellation without rescheduling.
11. BIOTEK CHAMPIONSHIP – REFERENCE TO THE RULES
11.1
As part of the Event, BIOTEK organizes the BIOTEK Championship, a competition reserved for participants who have purchased a valid Event admission ticket and have registered for one or more Championship categories.
11.2
Participation in the Championship is subject to:
a) the purchase of a valid Event pass;
b) payment of the registration fee for each selected category;
c) acceptance of the BIOTEK Championship Rules, which form an integral and substantial part of the contractual relationship between the participant and BIOTEK.
11.3
In the event of any conflict between these Terms and Conditions and the BIOTEK Championship Rules, the latter shall prevail with respect to matters specifically concerning the competition.
12. LIVE DEMO
As part of the Event, BIOTEK may select, at its sole discretion, industry professionals to perform Live Demos on a model. The economic, organizational and contractual conditions applicable to the Live Demos, including any obligations regarding the use of BIOTEK products, materials, allocated slots, fees, cancellation terms, penalties, releases and image rights, shall be governed by a separate written agreement entered into between BIOTEK and the selected professional.
13. IMAGES, PHOTO AND VIDEO RECORDINGS
13.1
During the Event, including the Live Demos, the Championship, the award ceremony, exhibition areas, training sessions and common areas, photographs, audio and video recordings, interviews and content may be created for the purpose of documenting, communicating and promoting the Event and BIOTEK’s activities.
13.2
By purchasing a Ticket and/or participating in the Event, the Participant acknowledges that their image, voice or likeness may be recorded and published by BIOTEK, including through its digital and social channels, such as, by way of example, its website, newsletters, Instagram, Facebook, TikTok, YouTube, LinkedIn, promotional materials, marketing campaigns, press releases and editorial content related to the Event and the BIOTEK brand.
13.3
It is understood that such uses shall be carried out in compliance with the applicable laws on personal data protection and, where necessary, subject to any additional releases or notices that may be provided to participants during the Event.
14. INTELLECTUAL PROPERTY
14.1
All trademarks, logos, content, materials, layouts, images, videos, slides, texts, recordings, formats and distinctive signs relating to the Event and/or made available by BIOTEK shall remain the exclusive property of BIOTEK or of the respective rights holders.
14.2
Unless prior written authorization has been granted by BIOTEK, any reproduction, distribution, exploitation, publication, assignment or commercial use of the Event content or of the materials made available by BIOTEK is prohibited.
15. LIMITATION OF LIABILITY
15.1
To the fullest extent permitted by law, BIOTEK shall not be liable for indirect or consequential damages, loss of opportunity, loss of profit, reputational damages or other losses arising from failure to participate in the Event, postponement of the Event, cancellation of the Event or the Participant’s inability to take part in the activities for reasons not attributable to BIOTEK.
15.2
In any event, BIOTEK’s liability in cases where liability cannot be excluded by law shall remain unaffected.
16. PRIVACY
16.1
The processing of personal data of Purchasers and Participants shall be carried out in compliance with the applicable data protection laws and as set out in the privacy policy published on the Website.
17. GOVERNING LAW AND JURISDICTION
17.1
These Terms and Conditions shall be governed by Italian law.
17.2
Any dispute relating to the validity, interpretation, performance or termination of these Terms and Conditions shall be subject to the exclusive jurisdiction of the Court of Milan, without prejudice to any mandatory rights granted by law to consumers, where applicable.
18. FINAL CLAUSE
18.1
Should one or more clauses of these Terms and Conditions be deemed null, invalid or ineffective, the remaining provisions shall remain fully valid and effective.
18.2
These Terms and Conditions constitute the entire agreement between BIOTEK and the Purchaser/Participant with respect to the sale of Tickets and participation in the Event, without prejudice to the BIOTEK Championship Rules and to any specific written agreements relating to Live Demos or other special activities.
